These Terms of Service ("Terms") govern your access to and use of the websites, platform, client portal, applications, and services offered by Firm Page LLC ("Firm Page," "we," "us," or "our").
By accessing our website, signing up for a subscription, using the Firm Page platform, or using any of our Services, you agree to these Terms. If you are agreeing on behalf of a business, you represent that you have authority to bind that business.
If you do not agree to these Terms, do not use the Services.
1. Definitions
The following defined terms apply throughout these Terms and any policies incorporated by reference:
"Client Content" means text, images, documents, logos, trademarks, branding, and other materials you provide to Firm Page for use in connection with the Services.
"Firm Page Materials" means the Firm Page platform, source code, backend systems, templates, reusable components, layout systems, design frameworks, portal infrastructure, proprietary workflows, methods, licensed stock assets, fonts, third-party licensed materials, and all improvements and derivative works thereof.
"Personal Information" means information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to an identified or identifiable individual, as defined by applicable law.
"Services" means the website design, development, hosting, management, maintenance, support, and related services provided by Firm Page under these Terms.
"Website" means the hosted website built and maintained by Firm Page for your business as part of the Services.
2. What Firm Page Provides
Firm Page is a subscription-based managed website service. Depending on the scope of your subscription, our Services may include:
- Onboarding questionnaires and strategy intake
- Website structure and navigation planning
- Custom website design
- Website development on the Firm Page platform
- Initial website copy drafting, which may include AI-assisted copywriting tools
- On-page SEO setup
- Hosting
- Maintenance and technology updates
- Website changes, additions, and updates submitted through the Firm Page app or portal
- Redesign eligibility after 36 continuous months of active paid service
Firm Page provides a hosted website solution. We do not sell or transfer ownership of Firm Page Materials as part of the subscription.
3. Eligibility
You must be at least 18 years old and legally able to enter into a contract to use the Services. If you use the Services on behalf of a company or organization, you represent that you are authorized to bind that entity to these Terms.
4. Accounts and Access
You may be required to create an account or use a client portal to access certain Services. You agree to provide accurate account information, keep your login credentials secure, promptly update your information when needed, and be responsible for all activity under your account. You are responsible for any users you authorize to access your account or workspace.
5. Subscription and Billing
Month-to-Month Service
Unless otherwise agreed in writing, Firm Page is provided on a month-to-month subscription basis.
Billing Start
Billing begins when you sign up.
Payment Terms
Subscription fees are billed monthly in advance using your saved payment method.
No Refunds
All payments are nonrefundable, including partial months, except where required by law.
Taxes
You are responsible for any applicable taxes, duties, or similar charges, other than taxes based on Firm Page's net income.
Price Changes
We may update pricing from time to time. If we do, we will provide at least thirty (30) days' prior written notice before the new pricing takes effect. The new pricing will apply beginning with the first billing cycle after the notice period expires.
6. Cancellations and Nonpayment
Cancellation by You
You may cancel at any time by submitting a cancellation request through the Firm Page portal or by sending written notice to hello@firmpage.com. We will confirm receipt of your cancellation request within two (2) business days.
If you cancel during a billing period, your service will remain active through the end of the current paid billing period.
Nonpayment
If payment is not received when due, we may provide up to a 30-day grace period before suspension. If payment remains outstanding after the grace period, we may suspend or terminate your access to the Services.
Post-Cancellation Wind-Down
When your subscription ends due to cancellation by you, Firm Page will maintain your Website in a read-only state for thirty (30) days following the end of your last paid billing period (the "Wind-Down Period"). During the Wind-Down Period:
- Your Website will remain publicly accessible but no new updates will be processed
- You may request a static content export of your Client Content (text and images only; Firm Page Materials, source code, platform files, and licensed assets are excluded)
- Firm Page will provide reasonable assistance with DNS redirection if you are transitioning to a new provider
After the Wind-Down Period expires, your Website will be taken offline and all data associated with your account will be deleted within sixty (60) days, except as required for legal compliance or dispute resolution.
Termination for Cause
If your subscription is terminated by Firm Page for material breach, nonpayment beyond the grace period, or violation of these Terms, the Wind-Down Period may be shortened or waived at Firm Page's discretion.
What Happens When Service Ends
When your subscription ends or is terminated, subject to the Wind-Down Period above:
- Your hosted Website will be disabled or removed
- Your access to the client portal will be revoked
- Except for the static content export described above, Firm Page is not required to provide source code, design files, backend access, hosting credentials, CMS exports, or a downloadable copy of the Website
- Your rights to use the Firm Page platform and hosted Website end
- All Firm Page Materials remain the property of Firm Page or its licensors
Additional transition or migration support beyond what is described in this section, if offered, is separate and may involve additional fees.
7. What Is Included and What Is Not
The subscription covers a standard marketing website for a professional service business within the normal capabilities of the Firm Page platform.
Unlimited Updates
The subscription includes unlimited website updates, including but not limited to: text and image changes, new pages, new sections, content additions, and layout adjustments consistent with the existing website design.
Requests that constitute a redesign of the Website's visual design, layout architecture, navigation structure, or overall design direction—whether submitted as a single request or as a series of incremental changes—are not included in the subscription and will be addressed through the 36-month redesign cycle or a separately scoped engagement.
Firm Page reserves the right to determine, in its reasonable discretion, whether a request constitutes an update or a redesign. If you disagree with a scope determination, you may request a review by contacting hello@firmpage.com, and Firm Page will respond within five (5) business days with a written explanation.
Exclusions
Unless we expressly agree otherwise in writing, the subscription does not include:
- Ecommerce
- Custom software development
- Advanced databases or dashboards
- Complex third-party integrations
- Membership systems
- Custom web applications
- HIPAA-sensitive environments
- PCI-sensitive environments beyond standard third-party payment links
- Formal legal or regulatory compliance review
- Enterprise security infrastructure
- Any functionality not expressly described in this section or otherwise included in the standard capabilities of the Firm Page platform
We may reject, defer, or separately quote requests that fall outside the standard subscription scope.
8. Your Responsibilities
You agree to cooperate with us and provide the information, content, approvals, and access we reasonably need to perform the Services. You are responsible for:
- Completing onboarding materials accurately
- Providing timely approvals and feedback
- Ensuring that Client Content you provide is lawful and rights-cleared
- Reviewing all content before launch
- Ensuring the legality and accuracy of your Website content, claims, disclosures, testimonials, and regulatory language
- Maintaining your domain registration, unless we expressly agree otherwise in writing
If you delay in providing materials, approvals, or decisions, timelines may shift.
9. Timelines and Turnaround
Any launch timing, turnaround estimate, or update timeframe we provide is an estimate, not a guarantee. We target five (5) business days for standard update requests, though actual timing may depend on your responsiveness, queue volume, scope, technical complexity, third-party dependencies, holidays, outages, and other factors outside our control.
More involved additions, such as new pages or multi-section builds, may take longer and will be estimated on a case-by-case basis.
10. Change Requests
All website changes, updates, and additions must be submitted through the Firm Page app, portal, or another approved Firm Page system. We are not required to process requests sent through informal channels such as text messages, phone calls, or social media messages.
We generally handle requests in the order received, but we may prioritize based on operational needs, complexity, or technical requirements.
11. Ownership and Intellectual Property
What You Own
You retain ownership of:
- Your business name, logo, trademarks, and branding
- Client Content you provide to us
- Your pre-existing materials
- Final website copy created specifically for your business, including copy generated using AI-assisted tools as part of the Services, except to the extent it incorporates Firm Page Materials
What Firm Page Owns
Firm Page and its licensors retain ownership of all Firm Page Materials, including but not limited to: the Firm Page platform; code, backend systems, software, and infrastructure; templates, reusable components, design systems, methods, and workflows; portal architecture; licensed stock assets, fonts, and third-party licensed materials; and improvements and derivative works of our systems and platform.
All website design elements, layouts, and visual treatments created by Firm Page as part of the Services are Firm Page Materials and remain the property of Firm Page, regardless of whether they were created specifically for your Website. You receive a license to use these design elements as part of your hosted Website while your subscription is active.
AI-Generated Content
Content generated using AI-assisted tools as part of the Services is provided to you under the same terms as other website copy. You are solely responsible for reviewing, approving, and ensuring the accuracy and legality of all AI-generated content before publication. Firm Page makes no representations or warranties regarding the accuracy, originality, or legal compliance of AI-generated content.
Subscription License
While your subscription is active and paid, we grant you a limited, non-exclusive, non-transferable right to use your hosted Website and related Services. This is a license to use the service while subscribed. It is not a sale of the website platform, source code, or Firm Page Materials.
No Export or Source Delivery
Unless we expressly agree otherwise in writing, you do not receive source code, design files, backend credentials, CMS exports, full site exports, or downloadable platform files. The static content export available during the Wind-Down Period (Section 6) is limited to Client Content and does not include Firm Page Materials.
Portfolio Rights
You grant Firm Page a non-exclusive, royalty-free, worldwide right to display and reference the Website, screenshots of the Website, and your business name and logo in Firm Page's portfolio, marketing materials, case studies, and promotional content. You may revoke this right at any time by sending written notice to hello@firmpage.com.
12. Third-Party Tools and Services
Your Website may include or rely on third-party tools or services such as analytics, calendars, maps, booking tools, embeds, fonts, or CRM integrations. You understand and agree that:
- Third-party tools must be compatible with the Firm Page platform
- We may approve or reject third-party tools in our discretion
- You are responsible for third-party subscription or licensing fees unless we expressly agree otherwise
- Third-party tools are governed by their own terms and privacy policies
- We are not responsible for third-party outages, failures, changes, or discontinued products
Firm Page is not liable for any loss, damage, data breach, or service interruption caused by third-party tools, whether or not those tools were recommended or configured by Firm Page.
13. Domains
Unless we expressly agree otherwise in writing, you are responsible for purchasing, renewing, and maintaining your domain name. We may assist with DNS or domain connection, but we are not responsible for registrar issues, domain expiration, or transfer failures.
14. Privacy and Data
Your use of the Services is subject to our Privacy Policy. If your Website includes forms, lead capture, cookies, analytics, or other data collection tools, you are responsible for ensuring your business complies with any laws applicable to your business, industry, or audience.
To the extent Firm Page processes Personal Information on your behalf in connection with your Website, the terms of the Data Processing Addendum ("DPA"), which is incorporated into these Terms by reference, will apply. You may request a copy of the DPA at hello@firmpage.com.
You may not use the Services to collect or process highly sensitive data unless we expressly agree in writing.
15. Acceptable Use
Your use of the Services is subject to our Acceptable Use / Platform Use Policy, which is incorporated into these Terms by reference. You may not use the Services to violate any law, infringe the rights of others, upload malicious code, misuse the platform, interfere with the Services, attempt unauthorized access, reverse engineer or exploit the platform, or publish unlawful, misleading, infringing, or harmful content.
We may suspend or terminate access for violations of these Terms or the Acceptable Use Policy.
16. Compliance Disclaimer
Firm Page provides website strategy, design, hosting, and management services. We do not provide legal, accounting, regulatory, or compliance advice. You are solely responsible for making sure your content, disclosures, testimonials, attorney advertising, financial claims, and industry-specific statements comply with applicable law and professional rules.
17. 36-Month Redesign Eligibility
You may become eligible for a redesign after 36 continuous months of active paid service, measured from the date your most recent Website went live.
Eligibility applies only if:
- Your account has remained active and paid current for the full 36-month period
- You request the redesign
- The redesign falls within the standard capabilities of the Firm Page platform at the time of the redesign
The redesign is limited to a standard marketing website within the Firm Page platform's current capabilities and scope. Content for the redesign must be provided by you within thirty (30) days of kickoff. The redesign does not include new features, functionality, or services beyond the scope of the standard subscription.
If your subscription is canceled, terminated, or suspended for nonpayment for more than sixty (60) consecutive days before the redesign period is reached, the 36-month period resets unless we agree otherwise in writing.
If you do not request the redesign within six (6) months of becoming eligible, the eligibility expires and the 36-month clock resets for the next cycle.
18. Legacy LocalSignal Services
Firm Page may continue to support or transition certain legacy systems, portals, or client setups associated with LocalSignal LLC. We may maintain, modify, migrate, or discontinue legacy systems at our discretion.
19. Service Availability
We use commercially reasonable efforts to keep the Services available, but we do not guarantee uninterrupted or error-free service. The Services may be unavailable at times due to maintenance, updates, hosting issues, third-party outages, security events, or other causes outside our reasonable control.
20. Disclaimers
To the fullest extent allowed by law, the Services are provided "as is" and "as available." We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted service.
We do not guarantee uninterrupted availability, specific SEO rankings, lead generation or business results, legal compliance of your content, error-free copy or content (including AI-generated content), availability of third-party tools, or exact launch or turnaround timing.
21. Limitation of Liability
To the fullest extent allowed by law, Firm Page and its owners, officers, employees, contractors, licensors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity.
Our total liability arising out of or related to the Services or these Terms will not exceed the total amount you paid to Firm Page during the twelve (12) months immediately before the event giving rise to the claim, or two thousand five hundred dollars ($2,500), whichever is less.
22. Indemnification
Your Indemnification of Firm Page
You agree to defend, indemnify, and hold harmless Firm Page and its owners, officers, employees, contractors, licensors, and affiliates from claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of:
- Your use of the Services
- Your Website content and Client Content
- Materials you provide
- Your violation of these Terms
- Your violation of applicable law
- Claims that your materials infringe someone else's rights
- Your failure to obtain needed rights or permissions
- Your compliance obligations in regulated industries
Firm Page's Indemnification of You
Firm Page will defend, indemnify, and hold harmless you from third-party claims alleging that the Firm Page platform, templates, or licensed assets provided as part of the Services infringe a third party's intellectual property rights, provided that: (a) you promptly notify Firm Page in writing of the claim; (b) you grant Firm Page sole control of the defense and settlement; and (c) you provide reasonable cooperation at Firm Page's expense.
This indemnification does not apply to claims arising from Client Content, your modifications or instructions, third-party tools, or any use of the Services in violation of these Terms.
23. Termination
We may suspend or terminate your access to the Services if:
- You fail to pay fees when due and do not cure within the grace period
- You materially breach these Terms
- Your use creates security, legal, or operational risk
- You misuse the platform
- Continued service is not legally or commercially practical
Where practicable and not involving imminent harm, we will provide written notice and a reasonable opportunity to cure before termination.
24. Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under these Terms to the extent caused by events beyond its reasonable control, including but not limited to: natural disasters, hurricanes, floods, fires, epidemics, pandemics, acts of God, war, terrorism, government actions, utility or infrastructure failures, internet outages, cyberattacks, or failures of third-party service providers. The affected party will use commercially reasonable efforts to resume performance as soon as practicable.
25. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas.
Before filing a formal claim, the parties agree to attempt in good faith to resolve the dispute informally. Any dispute arising from these Terms or the Services must first be submitted to non-binding mediation in Harris County, Texas. If mediation does not resolve the matter, any lawsuit must be filed exclusively in the state or federal courts serving Harris County, Texas.
EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL TO THE FULLEST EXTENT ALLOWED BY LAW. BY AGREEING TO THESE TERMS, EACH PARTY ACKNOWLEDGES THAT IT HAS READ THIS PROVISION, UNDERSTANDS IT, AND AGREES TO BE BOUND BY IT.
26. Limitation Period
Any claim arising out of or related to these Terms or the Services must be brought within one (1) year after the cause of action accrues. Claims brought after this period are barred.
27. Non-Solicitation
During the term of your subscription and for twelve (12) months after termination, you agree not to directly solicit, recruit, or hire any Firm Page employee or contractor who performed work on your account, without Firm Page's prior written consent.

29. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
30. Entire Agreement
These Terms, together with the Privacy Policy, Acceptable Use / Platform Use Policy, Content Ownership & Offboarding Policy, and any Order Form or Statement of Work executed by the parties, constitute the entire agreement between you and Firm Page and supersede all prior representations, understandings, and agreements, whether written or oral.
31. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide at least thirty (30) days' prior written notice by email or through the client portal. If you do not agree to the revised Terms, you may cancel your subscription without penalty before the changes take effect.
Non-material changes (such as corrections, formatting, or clarifications that do not alter your rights or obligations) may take effect immediately upon posting.
Your continued use of the Services after updated Terms become effective means you accept the revised Terms.
